Affiliate Program Agreement

1. Introduction

This Affiliate Program Agreement (“Agreement”) is entered into by and between Passion Fuels Ambition Pte Ltd (“Company”, “We”, “Us”) and you, the applicant (“Affiliate”, “You”). By signing up for the Passion Fuels Ambition Affiliate Program via our portal, you agree to be bound by these terms. This Agreement governs your rights and responsibilities in promoting our digital products (DCTLs, LUTs, and educational tools).

2. Enrollment & Status

  • Instant Access: We provide instant approval for most applicants to help you start earning immediately. However, we reserve the right to reject or terminate your enrollment at any time if we determine that your promotional methods are unsuitable for our brand.

  • Independent Contractor: You are an independent contractor, not an employee or partner of Passion Fuels Ambition Pte Ltd. You have no authority to make binding offers on our behalf.

3. Commissions & Attribution

  • Commission Rate: You will earn a 30% commission on the Net Sales of all eligible digital products purchased through your unique referral link.

  • Net Sales Definition: “Net Sales” is the purchase price actually received by us, less any taxes (GST/VAT), transaction fees, and refunds/chargebacks.

  • Cookie Duration: We use a 30-day cookie window. If a user clicks your link and purchases within 30 days, you earn the commission, provided they have not clicked another affiliate’s link more recently (Last Click Attribution).

  • Self-Referrals: You may not use your own affiliate link to purchase products for personal use. Commissions earned on self-referrals are disabled in the backend.

4. Payment Terms

  • Payment Schedule: Commissions are tracked in real-time on your Dashboard. Payouts are processed automatically on a monthly basis. Funds will be transferred to your designated PayPal account on the 21st of every month at 23:00 UTC+8.

  • Minimum Threshold: There is no minimum payout threshold. Your full available balance will be paid out on the scheduled date regardless of the amount.

  • Refunds & Clawbacks: Since we offer digital goods, if a customer requests a refund or issues a chargeback after you have been paid, we reserve the right to deduct the corresponding commission from your future payouts (“Clawback”).

5. Promotional Restrictions (The “No-Go” Zone)

To protect our brand and fairness among affiliates, the following activities are strictly prohibited:

  • PPC Bidding on Brand Terms: You are prohibited from bidding on keywords containing “Passion Fuels Ambition,” “PFA DCTL,” “SkinMatch DCTL,” or any variation thereof in Pay-Per-Click ads (Google Ads, Bing, etc.).

  • Cybersquatting: You may not register domain names that include our brand name or confusingly similar misspellings.

  • Spam: You must comply with all anti-spam laws (e.g., CAN-SPAM). Sending unsolicited emails promoting our products is forbidden.

  • Misrepresentation: You may not make false claims about our products or present yourself as an official employee of Passion Fuels Ambition.

  • Coupon Sites: Promoting our products on “coupon aggregator” sites is prohibited unless explicitly approved.

6. Intellectual Property

  • License: We grant you a non-exclusive, non-transferable license to use our provided creative assets (banners, logos, product images) solely for the purpose of promoting our products.

  • Modification: You may not modify our logos or assets in a way that damages our brand reputation.

7. Termination

  • Termination for Cause: We reserve the right to terminate your account immediately and forfeit any unpaid commissions if you violate these Terms (specifically Section 5 regarding Prohibited Activities).

  • Termination at Will: Either party may end this relationship at any time with written notice.

8. Limitation of Liability

Passion Fuels Ambition Pte Ltd will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes shall be resolved in the courts of Singapore.
