1. Introduction

Welcome to Passion Fuels Ambition (passionfuelsambition.com). These Terms and Conditions (“Terms”) govern your use of our website and the purchase of our digital products and software (including the PFA Color Suite, DCTLs, LUTs, and educational resources).

By accessing our website, downloading our free trials, or purchasing our products, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

Service Provider: Passion Fuels Ambition Pte Ltd (UEN: 202339063K), Singapore.

2. Definitions

  • “Company,” “We,” “Us,” or “Our” refers to Passion Fuels Ambition Pte Ltd.

  • “You” or “User” refers to the individual or entity accessing the website or purchasing products.

  • “Digital Assets” refers to static downloadable files, including DCTL scripts, LUTs, presets, and PDF guides.

  • “Software” refers to the PFA Color Suite, an OpenFX plugin application, including its source code, object code, user interface, and associated media.

3. Intellectual Property Rights

All Digital Assets and Software listed on this website are the exclusive intellectual property of Passion Fuels Ambition Pte Ltd.

A. Software Protection (PFA Color Suite) The PFA Color Suite is protected by Singapore copyright laws and international intellectual property treaties. You acknowledge that:

  • Code Integrity: The underlying code, algorithms, and logic of the Software (including the Subtractive Color Engine and Skin Match AI) are trade secrets of the Company.

  • UI/UX Protection: The design, layout, “look and feel,” and distinct visual functions of the user interface (including the Skin Tone Map overlay and specific slider arrangements) are proprietary to the Company.

  • No Reverse Engineering: You SHALL NOT reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of the Software or any part thereof.

  • No Derivatives: You may not create derivative works based on the Software, nor may you copy any specific function or UI element to create a competing product.

B. Digital Assets (DCTLs & LUTs) You retain ownership of the media (video/photos) you create using our products, but you claim no ownership over the tools themselves.

4. License Agreement (PFA Color Suite)

When you purchase the PFA Color Suite, you are purchasing a license to use the software, not the software itself.

A. Hardware-Locked License

  • Single Master Key: You are issued one unique License Key. This key is linked to the specific Hardware ID of the computer on which it is activated.

  • Activation Limits:

    • Standard License: Up to 2 simultaneous devices.

    • Studio License: Up to 10 simultaneous devices.

    • Agency License: Up to 50 simultaneous devices.

  • Cross-Platform Use: One activation unlocks the Software for all supported host applications (e.g., DaVinci Resolve, and future supported apps like Premiere Pro) installed on that single hardware device.

B. Transfer & Deactivation Policy

  • Local Deactivation Only: Deactivation of a license must be performed locally on the authorized machine via the plugin settings.

  • No Remote Reset: For security reasons, the Company cannot remotely deactivate or “kill” a license on a machine you no longer possess.

  • Hardware Failure: It is your sole responsibility to deactivate your license before selling, formatting, or discarding a computer. Loss of an activation slot due to hardware failure, theft, or user negligence is not covered by warranty and may require the purchase of a new license.

C. Subscription Services & Cancellation

  • Immediate Termination: If you purchase access to our Software or services on a subscription basis, you reserve the right to cancel your subscription at any time. Upon cancellation, your subscription and access to the associated services will be terminated immediately, regardless of any remaining days left in your current billing cycle.

  • No Prorated Refunds: The Company does not offer partial refunds, credits, or prorated reimbursements for any unused days or time remaining in the terminated subscription period.

5. License Usage & Resale Policy

To protect the integrity of our products while offering flexibility to our users, the following rules apply to the resale of licenses:

A. Resale of Activation Slots (Permitted with Caution) You ARE PERMITTED to resell, rent, or sub-license unused activation slots from your Master License Key to third parties. However, you do so entirely at your own risk.

  • Single Master Key Warning: You acknowledge that you possess only one Master License Key. Sharing the text of this key with a buyer grants them potential access to your entire pool of activations.

  • Recommended Method: To safely resell a slot, you should personally activate the Software on the buyer’s device (e.g., in person or via secure remote desktop). DO NOT email or send the raw License Key text to a buyer, as they may share it publicly or use more seats than paid for.

B. Liability Waiver for Resellers Passion Fuels Ambition Pte Ltd is NOT responsible for the management of your resold slots.

  • No Dispute Resolution: We will not intervene in disputes between you and your buyers (e.g., if a buyer refuses to deactivate the software later).

  • No Key Resets: We will not refund, replace, or reset a Master License Key if your activation slots are stolen, “leaked,” or over-used as a result of your resale activities. You are solely responsible for safeguarding your Key.

C. Prohibited Conduct While resale is permitted, you agree NOT to:

  • Bypass Security: Attempt to bypass, modify, or defeat the activation checks or digital rights management (DRM) of the Software.

  • Distribute Keys Publicly: Post your License Key on public forums, social media, or file-sharing sites.

  • Crack/Hack: Use or distribute “cracked” versions, keygens, or unauthorized patches.

  • Violation Consequences: Any violation of the “Prohibited Conduct” clause (specifically public posting or hacking) will result in the immediate and permanent revocation of your License Key without refund. We reserve the right to block your Hardware ID from future activations.

 

6. System Requirements & Compatibility

It is your sole responsibility to ensure compatibility before purchase.

  • PFA Color Suite: Requires a GPU with Metal (Mac) or CUDA/OpenCL (Windows) support. Current compatibility is limited to DaVinci Resolve (Studio & Free).

  • Future Integrations: Roadmaps for Adobe Premiere Pro, After Effects, and Final Cut Pro are estimates. The Company does not guarantee specific release dates for future host application support. Delays in future integrations are not grounds for a refund.

  • DCTL Products: Require DaVinci Resolve Studio (Paid Version).

 

7. Refund Policy (No Refunds)

All Sales Are Final. Because our products are digital software licenses, they are deemed “used” immediately upon the issuance of the License Key.

  • Free Trial Requirement: We provide a Free Trial (Watermarked) version of the PFA Color Suite. You are required to download and test this trial on your specific hardware to ensure performance and compatibility before purchasing.

  • No Refund Exceptions: We do not offer refunds for:

    • Change of mind.

    • Failure to read system requirements.

    • Incompatibility with future OS updates or hardware changes.

    • Loss of license due to failure to deactivate (as per Section 4B).

    • Cancellation of an active subscription (as per Section 4C).

 

8. Limitation of Liability

To the fullest extent permitted by applicable law (including the Unfair Contract Terms Act of Singapore), Passion Fuels Ambition Pte Ltd shall not be liable for:

  • Data Loss: Any corruption of data, project files, or footage resulting from the use of our Software.

  • Business Interruption: Loss of profits, business, or anticipated savings.

  • Third-Party Issues: Failure of the Software due to issues with the host application (e.g., Blackmagic Design updates) or OS updates.

Our total liability for any claim arising out of these Terms shall not exceed the amount you actually paid for the specific product giving rise to the claim.

 

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Courts of Singapore.
